Terms of Service

1. Introduction
These Terms of Service ("Terms") govern your access to and use of the IT Bridge Japan platform ("Service"), operated by IT Bridge Japan Co., Ltd. ("Company", "we", "our", or "us"), a company incorporated under the laws of Japan with its registered office in Tokyo. By accessing or using the Service, you agree to be bound by these Terms. If you do not agree to these Terms, you may not access or use the Service.
2. Definitions
"User" means any individual or entity that accesses or uses the Service. "Buyer" means a User who uses the Service to find and engage IT service providers. "Vendor" means an IT service provider registered on the platform. "Content" means any information, data, text, or other materials uploaded, submitted, or otherwise made available through the Service. "AI Tools" means the artificial intelligence-powered features of the Service, including but not limited to estimation validation, company matching, compliance checking, and requirement translation.
3. Account Terms
To access certain features of the Service, you must create an account. You are responsible for maintaining the confidentiality of your account credentials and for all activities that occur under your account. You must provide accurate, complete, and current information during registration and keep your account information updated. You must be at least 18 years old and have the legal authority to enter into these Terms on behalf of yourself or the organization you represent. We reserve the right to suspend or terminate accounts that violate these Terms.
4. Use of Service
You agree to use the Service only for lawful purposes and in accordance with these Terms. You shall not: (a) use the Service to transmit any harmful, threatening, or objectionable content; (b) attempt to gain unauthorized access to any part of the Service; (c) interfere with or disrupt the Service or servers; (d) scrape, data-mine, or extract data from the Service without authorization; (e) use the Service to compete directly with IT Bridge Japan; (f) share your account credentials with third parties. AI Tool outputs are provided for informational purposes and should not be considered as professional legal, financial, or business advice.
5. Payment Terms
Paid features of the Service are billed on a monthly or annual basis as specified in your plan. All fees are stated in Japanese Yen (JPY) and are exclusive of applicable consumption tax (消費税) unless otherwise stated. Payment is due at the beginning of each billing cycle. Failure to pay may result in suspension of your account. Refunds are available within 30 days of the initial subscription. Bank transfer payments must be received within 14 days of the invoice date. The Company reserves the right to modify pricing with 30 days' prior notice.
6. Intellectual Property
The Service, including all software, AI models, algorithms, designs, text, graphics, and other content provided by the Company, is protected by copyright, trademark, and other intellectual property laws of Japan and international treaties. You retain ownership of any Content you submit through the Service. By submitting Content, you grant the Company a non-exclusive, worldwide license to use, process, and analyze such Content solely for the purpose of providing the Service. AI-generated outputs are provided to you for your use but may not be attributed to IT Bridge Japan as professional advice.
7. Privacy
Your use of the Service is also governed by our Privacy Policy, which describes how we collect, use, and protect your personal information in compliance with the Act on Protection of Personal Information (APPI) and other applicable laws. Please review our Privacy Policy for detailed information about our data practices.
8. Limitation of Liability
To the maximum extent permitted by Japanese law, the Company shall not be liable for any indirect, incidental, special, consequential, or punitive damages, including loss of profits, data, or business opportunities, arising out of or in connection with your use of the Service. The Company's total cumulative liability shall not exceed the amount you have paid to the Company in the twelve (12) months preceding the claim. AI Tool outputs are provided "as-is" and the Company makes no warranties regarding their accuracy, completeness, or suitability for any particular purpose.
9. Governing Law & Dispute Resolution
These Terms shall be governed by and construed in accordance with the laws of Japan, without regard to conflict of law principles. Any disputes arising out of or in connection with these Terms shall be submitted to the exclusive jurisdiction of the Tokyo District Court (東京地方裁判所) as the court of first instance. Before initiating legal proceedings, the parties agree to attempt to resolve disputes through good-faith negotiation for a period of 30 days.
